Welcome to 5S Reviews
These Terms of Service ("Terms") govern your access to and use of 5S Reviews's services, software, and websites (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms
By creating an account, accessing, or using 5S Reviews's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
5S Reviews is operated by VIRTUALLIFE TECHNOLOGIES INC. References to "5S Reviews," "we," "us," or "our" in these Terms refer to VIRTUALLIFE TECHNOLOGIES INC. and its Services.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Service Description
5S Reviews is an AI-powered Google Business Profile review management platform that provides:
- Automated monitoring of Google Business Profile reviews
- AI-generated response suggestions using advanced language models
- Brand voice learning and personalization through RAG
- Sentiment analysis and keyword extraction
- Review analytics and reporting dashboards
- Multi-location business management
- Google Business Profile review monitoring and response management
- SMS and WhatsApp review request campaigns via Twilio
- AI-powered content generation (social media posts, ad copy, testimonial cards)
- Embeddable review widgets for your website
- NFC tap-to-review card ordering and management
- Referral campaign creation and tracking
- Escalation alerts for critical negative reviews
- Review analytics with sentiment analysis across all connected platforms
3. Account Registration and Security
Account Creation
You must provide accurate and complete information when creating an account.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
4. Subscription and Billing
Plans
We offer Pro, Premium, and Business subscription tiers with different features and usage limits.
Free Trial
We offer a 7-day free trial. No charges will be made during the trial period.
Billing
Subscription fees are billed monthly or annually in advance through Stripe. Fees are charged in USD or CAD based on your billing address.
Automatic Renewal
Your subscription will automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel before the renewal date.
You will receive an email notification before each renewal. You may cancel at any time from your account settings.
By subscribing, you authorize us to charge your payment method on file for recurring fees until you cancel.
Refunds
All fees are non-refundable except as required by law. You may cancel anytime to avoid future charges.
5. Physical Product Sales (NFC Cards)
5S Reviews offers physical NFC review cards for purchase. These are one-time purchases, separate from your subscription.
Returns and Exchanges
All NFC card orders are final once shipped. We do not accept returns or exchanges for NFC cards unless the product arrives damaged or defective.
Damaged Products
If your order arrives damaged, contact support@5sreviews.com within 7 days of delivery with photos of the damage for a replacement.
Shipping
Shipping times are estimates only. We are not liable for carrier delays, lost packages, or customs fees for international orders.
Sales Tax
Applicable sales tax will be calculated and charged at checkout based on your shipping address.
Device Compatibility
NFC cards are pre-programmed with your unique review URL. We do not guarantee compatibility with all NFC-enabled devices.
6. Acceptable Use and Restrictions
You agree NOT to:
- Violate any applicable laws or regulations
- Post fake, misleading, or fraudulent reviews
- Use the Services to harass, abuse, or harm others
- Reverse engineer, decompile, or disassemble the Services
- Attempt to gain unauthorized access to our systems
- Resell or redistribute the Services without authorization
7. Intellectual Property Rights
All rights, title, and interest in the Services are owned by or licensed to 5S Reviews.
You retain all ownership rights to your business data and User Content. You own all AI-generated responses created using the Services, but you are solely responsible for reviewing and approving all content before publication.
8. Data and Privacy
Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using the Services, you consent to our data practices as described in the Privacy Policy.
Data Deletion Policy
When you disconnect a location or delete your account, all associated data is permanently and irreversibly deleted from our systems. This includes all review data, AI-generated responses, analytics, and personal information.
We do not retain any user data for AI training or any other purpose after deletion. Our deletion process fully complies with GDPR Article 17 (Right to Erasure) and CCPA requirements.
9. AI-Generated Content and Disclaimer

By using our AI-powered services, you acknowledge and accept ALL risks associated with AI-generated content. For complete terms, please read our Full AI Disclaimer.
Nature of AI Services
- • AI-generated content may be incorrect, misleading, or inappropriate
- • AI does not understand context or specific circumstances
- • AI-generated responses are suggestions only, NOT final communications
Your Responsibility
- • Review every AI-generated response before publication
- • Verify factual accuracy of all statements
- • Ensure legal compliance with all applicable laws
- • Make all final decisions about published content
Disclaimer of Liability
5S Reviews expressly disclaims all liability for any errors, inaccuracies, or inappropriate content produced by AI, including any harm to your business reputation, legal claims, or financial losses.
9b. Review Collection & FTC Compliance
Your Obligations
- • You are solely responsible for ensuring all review request messages comply with the FTC Consumer Reviews Rule and all applicable laws
- • You must not use 5S Reviews to send messages that incentivize specifically positive reviews
- • You must not use 5S Reviews to gate, suppress, or manipulate customer reviews
- • You must disclose any compensation or incentives offered in exchange for reviews
- • You are responsible for obtaining proper consent before sending SMS or email review requests
FTC Guidance Tool Disclaimer
- • Our FTC compliance guidance tool provides automated pattern-based suggestions only
- • It is NOT legal advice and does NOT guarantee compliance with any law or regulation
- • The tool may not detect all potential violations
- • A "no issues detected" result does NOT mean your message is legally compliant
- • You should consult a qualified legal professional for compliance advice
Limitation of Liability
5S Reviews expressly disclaims all liability for any FTC violations, fines, penalties, or legal consequences arising from your use of the review collection features or reliance on the FTC guidance tool. You agree to indemnify and hold 5S Reviews harmless from any claims, damages, or losses resulting from your review collection practices, including any FTC enforcement actions.
10. SMS and WhatsApp Communications
You may use our platform to send review request messages via SMS and WhatsApp through Twilio.
Your Responsibilities
YOU are solely responsible for: (a) obtaining express written consent from recipients before sending messages, (b) maintaining records of consent, (c) complying with all applicable laws including TCPA, CAN-SPAM, CASL, and GDPR.
Opt-Out Requirements
All messages sent through our platform must include opt-out instructions. Recipients who reply STOP will be automatically unsubscribed.
Anti-Spam Policy
You agree not to use our messaging features to send spam, unsolicited messages, or messages to numbers on the National Do-Not-Call Registry.
Enforcement
We reserve the right to suspend your messaging privileges if we detect misuse or receive complaints.
Message Rates
Standard message and data rates may apply to recipients. You must disclose this to recipients.
11. Review Widgets
You may embed review widgets on your website using code provided by 5S Reviews.
Widget Availability
Widgets display review data from your connected platforms. We do not guarantee widget uptime or rendering across all browsers.
Your Responsibilities
You are responsible for ensuring widget placement complies with the terms of service of the website where it is embedded.
Modifications
We reserve the right to modify widget functionality or appearance at any time.
Embed Code
Widget embed code must not be modified, decompiled, or reverse-engineered.
12. Referral Program
You may create referral campaigns to encourage satisfied customers to refer others.
Referral Rewards
Referral rewards, if any, are determined by you and administered through your own business. 5S Reviews does not process or guarantee referral rewards.
FTC Compliance
You must comply with FTC Endorsement Guides when operating referral campaigns. This includes disclosing any material connection between the referrer and your business.
Fraud Prevention
We reserve the right to suspend referral campaigns that appear fraudulent or violate these terms.
Feature Availability
5S Reviews may modify or discontinue the referral feature at any time.
13. AI-Generated Content (Social Media & Ad Copy)
In addition to review responses, our AI may generate social media posts, ad copy, and testimonial cards based on your reviews.
Suggestions Only
All AI-generated marketing content is provided as suggestions only. You are solely responsible for reviewing, editing, and approving all content before publishing.
Platform Compliance
You must ensure AI-generated ad copy complies with the advertising policies of the platform where it will be published (e.g., Meta Ads Policy, Google Ads Policy).
Disclaimer
AI-generated content may not be accurate, original, or free from bias. 5S Reviews is not liable for any claims arising from published AI-generated marketing content.
14. Third-Party Services
The Services integrate with third-party services including Google Business Profile, Stripe, OpenAI, and Supabase. Your use of these services is subject to their respective terms and privacy policies.
15. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 5S REVIEWS SHALL NOT BE LIABLE FOR:
- • Indirect, incidental, special, consequential, or punitive damages
- • Loss of profits, revenue, data, or business opportunities
- • Damages arising from AI-generated content
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.
17. Termination
You may terminate your account at any time from your account settings. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or if required by law.
Upon termination, your access to the Services will immediately cease and we may delete your data in accordance with our data retention policy.
18. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration conducted by the American Arbitration Association (AAA).
